Terms of Use for the Watkins Construction Website

These Terms & Conditions (“Terms”) govern your access to and use of watkinsconstruction.com, any replacement website, and any related page that links to these Terms (collectively, the “Site”) operated by Watkins Construction (“Watkins,” “we,” “us,” or “our”).

By accessing or using the Site, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site. These Terms apply only to the Site; construction services, projects, employment, and other business relationships may be governed by separate written agreements.

1. Eligibility and Authority

You must be at least 18 years old to use the Site. If you use the Site for a company or other organization, you represent that you have authority to bind that organization to these Terms. The Site is intended primarily for users in the United States.

2. Informational Purpose; No Project Agreement

The Site provides general information about Watkins, its capabilities, equipment, safety program, projects, locations, and employment opportunities. Site content is not a bid, quote, guarantee, engineering opinion, safety plan, legal or regulatory advice, or offer to perform services.

A construction or service relationship exists only if Watkins and the applicable customer enter into a separate written agreement signed by authorized representatives. Project scope, pricing, schedule, availability, specifications, insurance, safety obligations, and warranties are determined only by that agreement. Photos, descriptions, and examples on the Site may depict past work and do not promise identical results.

3. Emergency Communications

The Site lists telephone numbers for emergency contact with Watkins. The Site itself is not an emergency-reporting or dispatch system, and website or email messages may not be monitored continuously. If there is an immediate threat to life, health, property, or the environment, call 911 and the appropriate public authorities first. Use the listed Watkins telephone numbers for matters involving Watkins operations. We do not guarantee a particular response time through the Site or email.

4. Employment Information

The Site may allow you to express interest in employment and may provide an employment application. Job descriptions and references to positions are informational and may be changed or withdrawn at any time. Submission of information does not create an employment relationship, promise an interview, or guarantee an offer.

Do not send money, bank account information, payment card information, passwords, or purchases in response to a purported recruiting communication. Watkins does not recruit through social media messaging apps or third-party payment services and does not require applicants to pay fees or purchase equipment. Contact Watkins directly using the contact details on the Site if you receive a suspicious communication.

Employment decisions and any employment relationship are governed by applicable law and Watkins policies and documents, not these Site Terms.

5. Intellectual Property

The Site and its content, including text, photographs, graphics, logos, icons, layout, design, videos, downloadable materials, and software, are owned by Watkins or its licensors and are protected by intellectual property laws. Company names, logos, service marks, and trade dress may not be used without prior written permission.

Subject to these Terms, Watkins grants you a limited, revocable, nonexclusive, nontransferable license to access and use the Site for lawful personal or internal business-information purposes. You may print or download a reasonable number of pages for those purposes if you retain all notices. No other rights are granted.

6. Acceptable Use

You agree not to:

• Use the Site for an unlawful, fraudulent, misleading, defamatory, harassing, or harmful purpose;
• Impersonate Watkins, an employee, an applicant, a customer, or another person, or misrepresent your affiliation;
• Attempt to gain unauthorized access to the Site, accounts, systems, networks, data, or administrative functions;
• Introduce malware, malicious code, automated attacks, or content designed to disrupt or damage the Site;
• Scrape, crawl, index, copy, or extract Site content through automated means except as allowed by standard search-engine instructions or our written permission;
• Reverse engineer, bypass security, test vulnerabilities without authorization, or interfere with Site operation;
• Remove proprietary notices, reproduce substantial portions of the Site, frame the Site, or use content to create a competing database or service; or
• Collect personal information about other users or use the Site to send spam or unsolicited communications.

We may suspend or block access, preserve evidence, and cooperate with authorities when we reasonably believe use violates these Terms or threatens the Site or others.

7. Information You Submit

You represent that information and materials you submit through the Site or related email communications are accurate, lawful, and yours to provide, and that they do not violate another person’s rights. Do not submit confidential project information, trade secrets, export-controlled information, or sensitive personal information unless Watkins has requested it and an appropriate secure method or agreement is in place.

You grant Watkins a nonexclusive, worldwide, royalty-free license to use, reproduce, and share submitted materials as reasonably necessary to respond to you, evaluate a project or applicant, operate and protect the Site, comply with law, and conduct the purpose for which you submitted them. This license does not transfer ownership of your materials and is subject to our Privacy Policy.

If you provide ideas or feedback about the Site or Watkins services without a separate confidentiality agreement, we may use that feedback without restriction or compensation, provided we handle personal information as described in our Privacy Policy.

8. Third-Party Links and Materials

The Site may contain links to third-party websites, maps, documents, software, project-management platforms, social networks, or other resources. Watkins does not control and is not responsible for third-party content, availability, security, products, terms, or privacy practices. Links are provided for convenience and do not necessarily imply endorsement. Your use of a third-party service is at your own risk and subject to that third party’s terms.

9. Site Availability and Changes

We may modify, suspend, restrict, or discontinue any part of the Site at any time. We do not promise that the Site will always be available, uninterrupted, secure, error-free, or current. We may correct errors and update content without notice.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WATKINS DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES REGARDING THE SITE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY.

WATKINS DOES NOT WARRANT THAT SITE CONTENT IS COMPLETE, CURRENT, OR SUITABLE FOR A PARTICULAR PROJECT OR DECISION. YOU ARE RESPONSIBLE FOR VERIFYING INFORMATION AND OBTAINING APPROPRIATE PROFESSIONAL ADVICE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WATKINS AND ITS OWNERS, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR USE, ARISING OUT OF OR RELATED TO THE SITE, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF THOSE PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY. THEY DO NOT LIMIT LIABILITY THAT CANNOT LAWFULLY BE LIMITED, AND THEY DO NOT ALTER LIABILITY OR REMEDIES UNDER A SEPARATE WRITTEN AGREEMENT FOR CONSTRUCTION OR OTHER SERVICES.

12. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Watkins and its owners, affiliates, officers, directors, employees, and agents from claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys’ fees) arising from your unlawful use of the Site, your violation of these Terms, or materials you submit that violate law or another person’s rights. Watkins may control the defense of a matter subject to indemnification, and you agree to cooperate. This section does not apply to the extent prohibited by law.

13. Privacy

Our Privacy Policy explains how we collect, use, disclose, and protect personal information associated with the Site. The Privacy Policy is incorporated into these Terms by reference.

14. Governing Law and Venue

These Terms and any dispute arising from the Site are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Subject to applicable law, exclusive venue lies in the state or federal courts located in or serving Navarro County, Texas, and you consent to personal jurisdiction in those courts. This section does not govern a separate written agreement that specifies different law or venue.

15. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms and change the effective date. Changes apply prospectively when posted unless a different date is stated. Your continued use of the Site after the effective date means you accept the revised Terms.

16. General Terms

If any provision of these Terms is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a business transaction or by operation of law. Headings are for convenience only. These Terms and the Privacy Policy are the entire agreement regarding use of the Site, but they do not replace a separate written project, customer, vendor, or employment agreement.
